LETTER OF ENGAGEMENT | November 3, 2026

This letter confirms the engagement between John-Lawrence Cortissoz, doing business as Clever Endeavors (“CE”), and Austin Pool Times (“Client”) for a managed AI-enabled business operations environment. Client joins as one of CE’s Founding Five: the first five clients CE is building alongside.

SERVICES

Phase One (included). CE will set up and manage an initial AI operations stack and one working business workflow, with onboarding, tuning, and a simple operational scorecard. Phase One includes:

• A 7-day onboarding blitz, delivered mobile and remote by default and starting when usable access and required information are available, with up to 2 hours of hands-on setup help for Client's team, in person or remote, scheduled at Client's convenience during onboarding.
• Up to 45 minutes a day of live coworking with John for the first 30 days.
• Ongoing unlimited live chat with CE during business hours through a dedicated Slack channel, subject to fair use.
• Unlimited 24/7 access to Clever Endeavors Cloud Council, where leading AI models work in parallel on Client's tasks, subject to fair use.
• A managed ChatGPT Plus account that CE configures and manages through Hermes and Obsidian.
• Managed Hostinger Hermes, CE’s operations engine, run by CE.
• A 30-day checkpoint: a joint review of results against the Exhibit A scorecard.

Fair use means normal day-to-day business use; if usage regularly runs well beyond that, CE and Client will talk first before any change.

The stack may use ChatGPT, HILIOS, Hermes, Obsidian, automation, hosting, and other tools as appropriate; no specific provider, plan, model, or number of agents is guaranteed.

Phase Two (optional, separate). Applying CE’s ranking engine to Client’s real data, the watch lot runner, and HighLevel management are Phase Two. Phase Two begins only under a separate signed add-on and is priced separately. Other significant new workflows are also scoped separately.

SUPPORT

After the first 30 days, support includes up to 8 hours a month. CE responds during business hours (Central Time). Work beyond that is $175/hour, billed in 30-minute increments, and is quoted and approved before it starts. Larger projects are offered as a separate fixed-price add-on.

INVESTMENT

Due at signing: $5,000, covering the $2,500 one-time implementation fee plus the first month of managed service. The $2,500 monthly managed-service fee is billed monthly in advance, first month due at signing. Each later month is due on the same day of the month as signing.

The Hostinger KVM 2 server and managed ChatGPT Plus account are included in the monthly fee. Client pays any other third-party subscriptions directly unless listed above as included.

If a payment is more than 10 days late, CE may pause services until it is paid; services resume on payment.

SCOPE AND RESPONSIBILITIES

Website redesign is not included; it may be proposed separately later. Any new third-party cost requires Client approval before it is incurred. Client supplies needed access and information and approves consequential customer-facing actions. CE does not guarantee revenue or other particular business outcomes.

DATA AND CONTINUITY

Client owns its business and customer data. Everything CE builds with and for Client, including its custom bots, agents, workflows, and configurations, is Client’s work product and stays Client’s after the engagement ends, once paid for. CE keeps its pre-existing stack, technology, and proprietary IP, including HILIOS, Hermes, Cloud Council, and its reusable tools and methods, plus any improvements to them made along the way; Client may keep using those built into its work product. Third-party services remain subject to their providers’ terms. Both parties will handle confidential information with reasonable care. Either party may end ongoing services on 30 days’ written notice; fees paid for a month in progress are non-refundable. Earned fees and approved costs remain payable, and CE will provide a reasonable export of Client data and work product on request. CE may assign this agreement to Clever Endeavors, LLC once it is formed, with written notice to Client and no change in terms.
